Terms of Service

These Terms of Service ("Terms") govern your use of OpenAlchemy (the "Service"), including any web interface, desktop client ("OpenAlchemy Engine"), API, and related software. By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service

OpenAlchemy operates a distributed inference network that aggregates idle GPU capacity from data centers, businesses, and individuals worldwide and exposes that capacity as OpenAI-compatible APIs.

The models served through the Service are open-source models, community-contributed models, or models provided by third parties. OpenAlchemy is a routing and metering layer. OpenAlchemy is not the author, creator, licensor, trainer, or operator of the underlying models and does not endorse any model’s outputs.

2. Accounts and API keys

You are responsible for safeguarding your account credentials and API keys. You are fully responsible for all activity that occurs under your account or API keys, whether or not authorized by you. Notify us promptly at support@openalchemy.io of any suspected unauthorized use.

3. Your inputs

You retain ownership of the data you submit to the Service ("Inputs"). You represent and warrant that you have the rights necessary to submit your Inputs and that your Inputs do not violate any law or any third party’s intellectual property, privacy, publicity, or other rights.

You grant OpenAlchemy a limited, non-exclusive, worldwide, royalty-free license to process your Inputs strictly as necessary to operate the Service for you.

4. Model outputs and AI-generated content

The Service returns AI-generated text, audio, images, embeddings, or other content ("Outputs") produced by machine-learning models. Outputs are generated programmatically by models that are open-source, community-contributed, third-party, or executed on volunteer hardware. They are not authored, edited, curated, reviewed, or endorsed by OpenAlchemy.

Outputs may be inaccurate, incomplete, outdated, biased, offensive, infringing, harmful, or otherwise inappropriate. Different models will produce different Outputs from the same Input. Outputs do not represent the views or statements of OpenAlchemy.

You are solely and exclusively responsible for: (a) your choice of model and routing pool; (b) the Inputs you submit; (c) the Outputs you receive; (d) any reliance on, modification of, publication of, distribution of, or downstream use of any Output; and (e) compliance with all laws and third-party rights that apply to your use of Outputs.

You must independently evaluate any Output before relying on it, especially in sensitive, regulated, professional, medical, legal, financial, or safety-related contexts. Outputs are not professional advice. You must not represent Outputs as human-authored where doing so would be unlawful or deceptive in the applicable context.

5. Acceptable use

You may not use the Service to: (a) violate any law or regulation; (b) generate or distribute content that infringes any third party’s intellectual property, privacy, publicity, or other rights; (c) generate child sexual abuse material, non-consensual intimate imagery, or content that harasses, defames, or threatens any person; (d) generate content intended to mislead in elections, public health, finance, or public safety; (e) develop weapons, malware, intrusion tools, or unlawful surveillance capabilities; (f) reverse-engineer, probe, or disrupt the Service or any underlying model; or (g) circumvent rate limits, abuse the free tier, or share API keys outside the licensed project.

We may suspend or terminate accounts that violate this section without prior notice.

6. No warranty

The Service and all Outputs are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, OpenAlchemy disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and that the Service will be uninterrupted, secure, or error-free.

7. Limitation of liability

To the maximum extent permitted by applicable law, OpenAlchemy and its affiliates, officers, employees, contractors, and contributing GPU operators shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, reputation, or business opportunity, arising out of or related to the Service, any Output, or these Terms — even if we have been advised of the possibility of such damages.

In no event shall OpenAlchemy’s total cumulative liability for any claim arising out of or related to these Terms or the Service exceed the greater of (a) the fees you paid to OpenAlchemy in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 10.

8. Indemnification

You agree to defend, indemnify, and hold harmless OpenAlchemy and its affiliates, officers, employees, contractors, and contributing GPU operators from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Inputs; (b) the Outputs you receive and any reliance on or downstream use of those Outputs; (c) your violation of these Terms; or (d) your violation of any law or any third party’s rights.

9. Third-party models and infrastructure

Models served through the Service may be subject to their own licenses, acceptable use policies, or restrictions. You are responsible for reviewing and complying with the license terms of any model you invoke. Inference jobs may be executed on third-party or volunteer GPU infrastructure participating in the network.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms.

Sections that by their nature should survive termination — including but not limited to the sections on Your inputs, Model outputs, No warranty, Limitation of liability, and Indemnification — will survive.

11. Changes to these Terms

We may revise these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be announced through the Service or by email to your account address. Your continued use of the Service after revisions become effective constitutes acceptance of the revised Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
